Terms of Service

1. Acceptance of Terms

By accessing or using the Vorrei platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" in these Terms include that entity.

2. Eligibility

To use Vorrei, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher);
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the Services under applicable law; and
• Not have been previously suspended or removed from the Services by Vorrei.

Vorrei reserves the right to refuse service to anyone for any reason at our sole discretion.

3. Your Account

3.1 Registration

To access most features of Vorrei, you must create an account by providing accurate, current, and complete information. You agree to keep your account information updated.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at legal@vorrei.io of any unauthorised access or security breach. Vorrei will not be liable for any losses caused by unauthorised use of your account.

3.3 One Account per Organisation

Each business organisation must be associated with one primary account. You may invite team members and assign roles within the platform. Sharing login credentials between unrelated individuals is not permitted.

3.4 Account Information Accuracy

Providing false, misleading, or fraudulent information during registration or at any point during your use of the Services is a material breach of these Terms and may result in immediate account termination.

4. The Services

4.1 Platform Features

Vorrei provides a suite of digital tools for local businesses, including but not limited to: digital menu creation, QR code generation, online table and service booking, order management, customer reviews, team management, AI-powered content generation, and a public business listing on the Vorrei marketplace.

4.2 Service Availability

We aim to provide the Services with at least 99.5% monthly uptime, excluding scheduled maintenance windows. We will endeavour to provide advance notice of planned maintenance. However, we do not guarantee uninterrupted or error-free availability and accept no liability for downtime caused by events outside our reasonable control.

4.3 Service Changes

Vorrei is continuously evolving. We reserve the right to modify, add, or remove features from the Services at any time. We will provide reasonable notice of material changes that significantly affect your use of the Services, where practicable.

4.4 Beta Features

From time to time, we may offer beta or experimental features. These are provided "as is" without warranty, may be discontinued at any time, and should not be relied upon for critical business operations.

5. Subscriptions & Billing

5.1 Plans

Vorrei offers a free Starter plan and paid subscription plans (Growth, Pro). Full details of each plan's features and limitations are available on our Pricing page. Feature availability is subject to change with reasonable notice.

5.2 Billing Cycles

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Payment

Payments are processed by Stripe (primarily for users in Europe and the United States) or Razorpay (primarily for users in India and South Asia). You authorise us to charge your designated payment method for all amounts due under your subscription. All prices are exclusive of applicable taxes unless stated otherwise.

5.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment remains outstanding after a reasonable period, your account may be downgraded to the free plan or suspended until payment is received.

5.5 Refunds

Subscription fees are generally non-refundable except where required by applicable law. If you cancel a paid plan, you retain access to paid features until the end of the current billing period. We do not provide prorated refunds for partial billing periods.

If you believe you have been charged in error, please contact us within 30 days of the charge at legal@vorrei.io.

5.6 Price Changes

We may change our subscription pricing. We will provide at least 30 days' notice of any price increase before it applies to your renewal date, giving you the opportunity to cancel if you do not wish to accept the new pricing.

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation;
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Infringe any third party's intellectual property rights, privacy rights, or other proprietary rights;
• Attempt to gain unauthorised access to any part of the Services, other accounts, or related systems or networks;
• Interfere with or disrupt the integrity, performance, or availability of the Services;
• Use automated means (bots, scrapers, crawlers) to access the Services without our prior written consent;
• Reverse-engineer, decompile, or attempt to derive the source code of any part of the Services;
• Use the Services to transmit unsolicited commercial communications (spam);
• Impersonate any person or entity or falsely misrepresent your identity or affiliation;
• Use the platform to facilitate illegal transactions or money laundering; or
• Resell, sublicense, or otherwise commercially exploit the Services without our express written permission.

Vorrei reserves the right to investigate and take appropriate action against violations of this policy, including suspending or terminating your account, reporting activity to law enforcement, and pursuing legal action.

7. Intellectual Property

7.1 Vorrei's IP

The Vorrei platform, including its software, design, logos, trademarks, and all related intellectual property, is owned by or licensed to Vorrei and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for their intended purpose during the term of your subscription.

7.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Services or included software. You may not use our trademarks, brand name, or logos without our prior written consent.

7.3 Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant Vorrei a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, without obligation or compensation to you.

8. Your Content

8.1 Ownership

You retain all rights in any content you upload or create on the platform ("User Content"), including menus, product listings, images, business information, and customer data.

8.2 Licence to Vorrei

By uploading User Content to the Services, you grant Vorrei a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process your User Content solely for the purpose of providing and improving the Services. This licence terminates when you delete the content or close your account.

8.3 Your Responsibilities

You are solely responsible for all User Content you upload. You represent and warrant that:

• You own the content or have all necessary rights and permissions to upload it;
• The content does not infringe any third-party intellectual property rights; and
• The content complies with all applicable laws and these Terms.

8.4 Content Removal

Vorrei reserves the right to remove or disable access to any User Content that violates these Terms or applicable law, without prior notice.

9. Third-Party Services & Links

The Services may integrate with or contain links to third-party services (e.g., Stripe, Razorpay, Google Maps, social media platforms). These integrations are provided for your convenience. Vorrei does not control third-party services and is not responsible for their content, privacy practices, or terms. Your use of third-party services is subject to their respective terms and policies.

In particular, payment processing is subject to the terms and privacy policy of Stripe (stripe.com/privacy) and Razorpay (razorpay.com/privacy), as applicable.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing.

Vorrei does not warrant that:

• The Services will be uninterrupted, error-free, or free from viruses or other harmful components;
• Any errors in the Services will be corrected;
• The results obtained from using the Services will be accurate or reliable; or
• The Services will meet your specific requirements or expectations.

Some jurisdictions do not permit the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Vorrei, its directors, employees, affiliates, agents, or licensors be liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, business opportunities, or goodwill;
• Damage to your reputation or brand;
• Cost of procuring substitute goods or services; or
• Any damages arising from unauthorised access to or alteration of your data,

even if Vorrei has been advised of the possibility of such damages.

To the extent permitted by law, Vorrei's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to Vorrei in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) £100 / €100 / $100 (whichever currency applies to your account).

These limitations apply regardless of the form of action, whether in contract, tort, statute, or otherwise.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vorrei and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services;
• Your violation of these Terms;
• Your User Content; or
• Your infringement of any third-party rights.

13. Termination

13.1 By You

You may cancel your account at any time through your account settings or by contacting us at legal@vorrei.io. Cancellation takes effect at the end of your current billing period.

13.2 By Vorrei

We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or if required to do so by law.

13.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 7, 10, 11, 12, and 14) will remain in force.

14. Disputes & Governing Law

14.1 Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at legal@vorrei.io and attempt to resolve the dispute informally. We will endeavour to resolve the matter within 30 days.

14.2 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

14.3 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms. If you are a consumer resident in the EEA, you may also have rights before the courts of your country of habitual residence.

14.4 Consumer Rights

Nothing in these Terms is intended to limit any rights you may have under applicable mandatory consumer protection law in your jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by:

• Sending an email notification to the address associated with your account; and/or
• Displaying a prominent notice within the platform.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Services and cancel your account before the changes take effect.
